    Job summary

    Assist us with a variety of corporate legal matters and transactions. The Red Hat Legal team is looking for an experienced, motivated, and high-potential senior lawyer with a background in domestic and international tax law to join us as a Senior Corporate Counsel in Raleigh, NC. In this role, you’ll need to be able to thrive in a fast-paced, challenging, and constantly evolving environment. You will report to the Vice President of the Corporate Legal team and you’ll interact directly with business teams and executives. As a Senior Corporate Counsel, you will manage multiple complex matters at the same time and provide nuanced advice and guidance to an entrepreneurial and rapidly expanding organization across geographies, cultures, and functions. You’ll also need to have a passion for working collaboratively with others. This is a great opportunity to gain familiarity with Red Hat's global business and quickly become an integral member of the Legal team.

    Primary job responsibilities

    • Provide legal support to Red Hat on domestic and international tax matters, including mergers and acquisitions, drafting and maintaining intercompany agreements and tax provisions in commercial contracts, assessing risk in global expansion, and providing legal advice in tax disputes
    • Apply your knowledge of public company governance, NYSE Rules, Delaware corporate law, and public company reporting
    • Support Red Hat’s global Tax team, other business functions, and members of the Legal team by serving as the subject matter specialist providing legal advice in tax planning, compliance, controversy, and litigation
    • Provide tax-related support in commercial and corporate transactions
    • Help business teams develop creative solutions and guide them along the path to implementation
    • Manage the work of the outside counsel
    • Developing a solid network of relationships inside and outside of the organization to support the objectives of the Tax and Legal teams and the business as a whole

    Required skills

    • Broad corporate and transactional generalist with 10+ years of experience in tax, mergers and acquisitions, securities, and corporate governance either in a law firm or in-house; candidates who have worked in the corporate or transactional department of a major law firm and with an S&P 500 company are preferred
    • Clear and concise written communication skills
    • Experience representing corporate entities in tax controversies like audits and litigation
    • Significant experience negotiating complex corporate transactions in a lead role; excellent drafting and negotiating skills and a solid understanding of transaction life cycles
    • Comfortable untangling and analyzing complex legal issues with a pragmatic approach to resolving them
    • Solid project management skills
    • Ability to provide inspirational leadership to colleagues
    • Excellent interpersonal skills; comfortable dealing with all levels of our organization, especially senior management, and able to persuade others in a growing, global business
    • Skilled at managing competing priorities effectively
    • Proactive approach to recognizing needs and anticipating issues
