Job summary

Define strategies for procurement and structuring, negotiating, and closing deals across all major spend categories including IT and telco, marketing, professional services, HR services, global workplace solutions, and travel. The Red Hat Legal team is looking for a talented Attorney to join our Commercial Transactions team in Raleigh, NC. In this role, you will lead legal support for our global procurement team and work with our revenue generating sales teams for the Americas region. You’ll interact with management and key business customers while you provide direct support to Red Hat’s global procurement team. You’ll participate in projects and implement process improvements that will enhance the Legal team’s support of Red Hat’s procurement activities. As an Attorney, you will assess legal risks while applying good legal and business judgment. We’ll also need you to have excellent communication skills to interact with internal and external business customers while addressing complex issues in an accurate, clear, concise, and thorough manner. You’ll help us develop and maintain a framework for supporting a thriving business built on open source principles. This role is ideal for a candidate with experience negotiating contracts with an understanding of the practical business risks and customer needs, a passion for technology, excellent problem-solving skills, and the ability to thrive in a fast-paced, changing technology and business landscape.

Primary job responsibilities

  • Draft, review, and negotiate master agreements, ordering documents and statements of work (SOWs) for procurement across a range of categories of offerings and industries, including software licenses and support agreements, professional services, Software-as-a-Service (SaaS) and cloud-based offering contracts, vendor management systems and provider arrangements, and marketing and sponsorship agreements
  • Standardize global procurement processes and templates and implement procedural improvements to enhance Legal team's support of Red Hat's procurement practices
  • Draft, review, and negotiate agreements related to the sale of services and software subscription agreements, professional services agreements and SOWs, and partner agreements for resellers, distributors, systems integrators (SIs), independent software vendors (ISVs), and cloud providers
  • Educate customers about open source development and licensing, including Red Hat’s subscription business model
  • Support and coach our global procurement and regional sales organizations to guide the adoption of best practices and standard methods
  • Work with product, Finance, and Operations teams to develop negotiation strategies and resolve contractual issues
  • Assist with the development of new Red Hat’s offerings and programs and contract templates
  • Participate in compliance initiatives, including training internal customers on legal and contracting policies or issues like ethics and anti-corruption issues
  • Serve as a subject matter expert on various legal developments relevant to commercial issues

Required skills

  • J.D. degree from a top law school with excellent academic credentials
  • License to practice law in any U.S. state
  • 3+ years of relevant professional experience in software and IT services contract negotiations; solid knowledge of commercial and contract law
  • In-house commercial contracting experience dealing with commercial procurement and sales transactions and supporting a procurement and sales organization, or law firm experience drafting and negotiating complex business transactions (e.g., mergers and acquisitions agreements, debt and equity financing arrangements, business-process outsourcing agreements, etc.); leading law firm or in-house experience is a plus
  • Ability to work on your own with minimal supervision while maintaining a firm focus on applying commercial legal principles to practical business relationships and offerings
  • Excellent written and verbal communication skills, attention to detail, and solid analytical abilities demonstrated through your work experience
  • Demonstrated passion for technology, software, intellectual property, open source, or copyleft licensing issues
  • Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations
  • Creative problem-solving skills with a focus on achieving results that benefit our business while recognizing customer needs
  • Positive, can-do attitude and sense of humor
