    Job summary

    Take on the challenge and help us with commercial revenue generating contracts negotiations and support in an in-house setting. The Red Hat Legal team is looking for a talented Attorney with a background in Mergers and Acquisitions, Corporate Financing Transactions, or other complex corporate transactions to join us in Raleigh, NC. In this role, you'll interact with management and key business clients while you provide direct support to Red Hat sales teams in structuring and closing deals, as well as defining legal strategies. You will also provide the commercial legal perspective in support of acquisitions and integrations. We’ll need you to be able to assess legal risks while applying good legal and business judgment. We’ll also expect you to have excellent communication skills to interact with internal and external business clients while addressing complex issues in an accurate, clear, and concise yet thorough manner.     Primary job responsibilities

    • Draft, review, and negotiate master services and software subscription agreements, professional services agreements and statements of work, and partner agreements for resellers, distributors, systems integrators, ISVs, and cloud providers
    • Educate customers about open source development and licensing, including Red Hat’s subscription business model
    • Support and coach our regional sales organization
    • Work with product, Finance, and Operations teams to develop negotiation strategies and resolve contractual issues
    • Assist with the development of new Red Hat solutions and programs and contract templates
    • Participate in compliance initiatives including training internal clients on legal and contracting policies or issues, including ethics and anti-corruption issues
    • Assist with commercial diligence review and integration in connection with acquisitions
    • Serve as a subject matter expert on various legal developments relevant to commercial issues

    Required skills

    • J.D. from a top law school with excellent academic credentials
    • License to practice law in any U.S. state
    • 3+ years of experience with complex business transactions like mergers and acquisitions and debt and equity financing; experience with software or other technology companies is a major plus
    • Ability to work on your own with minimal supervision while maintaining a firm focus on applying commercial legal principles to practical business relationships and products
    • Excellent verbal and written communication skills, attention to detail, and analytical skills demonstrated through your work experience
    • Demonstrated passion for technology, software, intellectual property, and open source or copyleft licensing issues
    • Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations
    • Creative problem-solving skills with a focus on achieving results that benefit our business while recognizing client needs
    • Positive attitude and sense of humor
    • Leading law firm or in-house experience preferred
    • In-house commercial contracting experience dealing with technology revenue transactions and supporting a sales organization is a plus
