    Job summary

    Use your legal and finance experience in a company that is changing the way software works. The Red Hat Equity team is looking for a Senior Equity Programs Consultant to join us in Raleigh, NC. In this role, you’ll work across multiple disciplines, including equity, tax, payroll, accounting, and legal within the US and globally. You should have extensive experience with equity programs and their design and the ability to manage stock plan administration programs, global expansions, and other cross-functional initiatives. You’ll plan and forecast for Red Hat’s Global Equity Compensation and Employee Stock Purchase Program (ESPP), and manage international requirements related to those programs.

    Primary job responsibilities

    • Lead efforts to design and implement new global equity programs and enhancements to existing programs
    • Support forecasting and modeling for equity programs, in collaboration with accounting and compensation teams
    • Assist in preparation of Security and Exchange Commission (SEC) filings, including equity-related disclosures for proxy statements
    • Manage Section 16 insider reporting and 10b5-1 plans
    • Collaborate with internal and external tax and legal advisers on global equity matters
    • Support mergers and acquisitions as a primary contact for equity compensation due diligence and integration
    • Serve as a primary contact for requests from internal and external auditors
    • Assist in establishing and maintaining control procedures for equity programs
    • Play a leading role in cross-functional projects involving equity programs
    • Develop equity program recommendations led by legal, accounting, and tax developments
    • Perform ongoing reviews and updates to internal processes and control documentation for management and administration of equity plans
    • Develop equity program education and communication materials

    Required skills

    • 7-10 years of public company equity compensation experience
    • Expertise in executive compensation design and administration
    • Bachelor’s degree in business, finance, accounting, economics, or a related field
    • Excellent verbal and written communication skills, including being capable of presenting to executives and Board of Directors
    • Excellent analytical and organizational skills, with the ability to set priorities, meet deadlines, and handle multiple tasks in a high-tech, fast-paced environment
    • Solid project management leadership experience   
    • Attention to detail and a commitment to accuracy and high quality of work
    • Expertise in global stock plan administration and compliance and related disciplines
    • Experience with progressive equity compensation and stock purchase plan design and industry best practices
    • Ability to manage cross-functional projects and professionals
    • Experience with public company reporting, particularly proxy statements, and functional knowledge of the United States securities laws applicable to equity compensation and stock purchase plans, including Section 16 reporting and 10b5-1 trading plans
    • Advanced spreadsheet skills and experience developing and reporting on models and forecasts of equity usage
    • Functional knowledge of tax and accounting relating to equity compensation, including share-based compensation expense and global tax considerations
    • Experience wint stock plan vendor systems; experience with Fidelity systems is a plus
    • Experience with mergers and acquisitions and the implications for equity awards is an advantage
    • Experience with 401(k) plan and benefit program administration and compliance is a plus
