    Job summary

    The Red Hat Legal team is looking for a talented attorney to serve as a Senior Commercial Attorney to join us in Raleigh, NC. In this role, you will focus in part on indirect sales transactions through our strategic channel partners. You'll interact with management and key business customers while providing direct support to Red Hat’s sales teams (particularly our Global Partners and Alliances sales team) in structuring and closing deals, as well as defining legal strategies. You’ll need to be able to assess legal risks while applying good legal and business judgment. You’ll also need to have excellent communication skills to interact with internal and external business customers while addressing complex issues in an accurate, clear, and concise, but also thorough manner. This role is ideal for a candidate with experience negotiating contracts, understanding of the practical business risks and needs of customers, passion for technology, excellent problem-solving skills, and an ability to thrive in a fast-paced, changing technology and business landscape. As a Senior Commercial Attorney, you’ll help us face unique challenges like developing and maintaining a framework for supporting a thriving business built on open source principles. You’ll need to be able to tackle these challenges and to help build and sustain a great technology company in a high-energy and demanding environment.

    Primary job responsibilities

    • Draft, review, and negotiate master services and software subscription agreements, professional services agreements, and statements of work (SoWs) with a particular focus on partner agreements for resellers, distributors, systems integrators (SIs), original equipment manufacturers (OEMs), independent software vendors (ISVs), and cloud providers
    • Educate customers about open source development and licensing, including Red Hat’s subscription business model
    • Support and coach our sales and Global Partners and Alliances teams
    • Work with product, finance, and operations teams to develop negotiation strategies and resolve contractual issues
    • Assist with the development of new Red Hat’s offerings and programs, contract templates, and new channel routes to market
    • Participate in compliance initiatives, including training internal customers on legal and contracting policies or issues, including ethics and anti-corruption issues and partner onboarding

    Required skills

    • J.D. degree from a top law school with excellent academic credentials
    • License to practice law in any U.S. state
    • 7+ years of relevant professional experience in software and IT services contract negotiations and solid knowledge of commercial and contract law; experience with open source technology is a big plus
    • In-house commercial contracting experience dealing with technology revenue transactions and supporting a sales organization, or law firm experience drafting and negotiating complex business transactions like mergers and acquisitions (M&A) agreements, debt and equity financing arrangements, business-process outsourcing agreements, etc.
    • Experience with indirect sales through channel partners, including resellers, distributors, systems integrators, OEMs, ISVs, and cloud providers
    • Understanding of key business and legal issues and challenges when selling through business partners
    • Excellent written and verbal communication skills, attention to detail, and solid analytical abilities demonstrated through your work experience
    • Demonstrated passion for technology, software, intellectual property, or open source or copyleft licensing issues
    • Ability to work with minimal supervision while maintaining a firm focus on applying commercial legal principles to practical business relationships and offerings
    • Ability to work efficiently, meet demanding deadlines in a fast paced environment, prioritize work, and adjust to frequent workload fluctuations
    • Creative problem-solving skills with a focus on achieving results that benefit our business while recognizing customer needs
    • Positive, proactive attitude and sense of humor
